TERMS OF SERVICE
1. Introduction & Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the ONDÍAM Global media network, including all websites, platforms, services, and content operated by Annouxvelle Communications, LLC, and its subsidiaries Neuxrain Productions and ONDÍAM Global (collectively, “ONDÍAM Global,” “we,” “us,” or “our”).
By accessing or using any ONDÍAM Global service — including viewing content, submitting creative works, participating in ONDÍAM Global Market Connect, or engaging with any part of the platform — you agree to be bound by these Terms and all applicable policies referenced within them.
If you do not agree to these Terms, you may not use the ONDÍAM Global services.
We may update or modify these Terms at any time. When changes are made, the updated version will be posted on our website with a revised “Last Updated” date. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Colorado, without regard to conflict‑of‑law principles.
2. Eligibility
ONDÍAM Global is intended for adults who can legally enter binding agreements. By accessing or using any ONDÍAM Global service, you represent and warrant that:
• You are 18 years of age or older.
• You have the legal capacity to enter into these Terms.
• Any content you submit is your own original work or you have secured all necessary rights and permissions to submit it.
• Any ”featured individuals” appearing in your submitted content are 18 or older, or you have obtained all legally required releases and permissions from their parent or legal guardian.
Featured individuals must be 18 years of age and older.
All individuals who are intentionally featured, identifiable, or central to the submitted content must be 18 years of age or older. Incidental background appearances of individuals in public places, where no reasonable expectation of privacy exists, are permitted.
Individuals under 18 may not create accounts, submit content, or participate directly on the platform.
Youth participation is available only through approved educational institutions and programs within the ONDÍAM Global Media Arts Corps.
ONDÍAM Global may refuse access to any user who does not meet these eligibility requirements.
3. User Accounts & Security
Some ONDÍAM Global services may require a user account. When creating an account, you agree to provide accurate, current information and to update it as needed to keep it true and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify ONDÍAM Global immediately if you suspect unauthorized access, a security breach, or any misuse of your account. ONDÍAM Global is not liable for any loss or damage arising from your failure to safeguard your credentials.
ONDÍAM Global may suspend or terminate accounts that violate these Terms, contain false information, or pose a risk to the platform, its users, or its operations. Account access is limited to individuals who meet the eligibility requirements outlined in Section 2.
4. Content Submissions and Contributor Responsibilities
Producers and Creators who submit content to ONDÍAM Global are responsible for ensuring that their work is lawful, original, and aligned with the platform’s standards. By submitting any content, you represent and warrant that:
• You are the sole owner of the content or have secured all rights, licenses, and permissions necessary to submit it.
• All individuals who are intentionally featured, identifiable, or central to the content are 18 years of age or older.
• Incidental background appearances of individuals in public places, where no reasonable expectation of privacy exists, are permitted.
• You have obtained all required permissions, releases, and clearances for locations, music, artwork, performances, and any other copyrighted or protected material included in your submission.
• Your content does not infringe on any copyright, trademark, privacy right, publicity right, or other legal protection.
• Your content does not contain unlawful, defamatory, hateful, harassing, exploitative, or harmful material.
• Your content does not include nudity, sexually explicit material, or depictions of minors in any context that violates applicable law or the ONDÍAM Global standards.
• Your submission complies with all applicable laws and regulations in your jurisdiction and in the United States.
ONDÍAM Global reserves the right to request proof of rights, releases, or permissions at any time. Failure to provide such documentation may result in rejection or removal of the content.
Producers and Creators are solely responsible for any legal claims arising from their submissions and agree to bear all associated liability.
5. License Granted to ONDÍAM
By submitting content to ONDÍAM Global, you grant Annouxvelle Communications, LLC, including its subsidiaries Neuxrain Productions and ONDÍAM Global, a non‑exclusive, worldwide, royalty‑free license to host, display, stream, promote, distribute, and otherwise make your content available across ONDÍAM Global platforms and services.
This license includes the right to:
• Exhibit and stream your content on the ONDÍAM Global websites, channels, and digital properties.
• Promote your work through trailers, excerpts, thumbnails, still images, and editorial features that help audiences discover your story.
• Format, encode, or adapt your content as needed for technical delivery, without altering the creative essence of the work.
• Present sponsor messages or platform‑level promotional placements in connection with your content — including pre‑roll, mid‑roll, end‑roll, or curated programming blocks — in ways that do not alter the creative essence of your work.
• Sublicense your content to trusted distribution partners, cultural institutions, festivals, and media networks for the purpose of elevating visibility, expanding reach, and amplifying the impact of your work.
You retain full ownership of your content. Nothing in these Terms transfers or diminishes your copyright.
Any sublicensing or distribution arrangement that generates revenue for ONDÍAM Global will be governed by the platform’s Revenue Share Terms, which ensure creators participate in the economic value created by their work.
ONDÍAM Global may curate, feature, or decline submissions at its discretion, consistent with the platform’s mission and standards.
6. Curation and Removal Rights
ONDÍAM Global is a curated media network. Submission does not guarantee acceptance, publication, or continued placement on the platform. We reserve the right, at our sole discretion, to review, select, feature, decline, or remove any content at any time.
Content may be declined or removed for reasons including, but not limited to:
• concerns related to rights, permissions, or legal compliance
• violations of these Terms or other platform policies
• misalignment with ONDÍAM Global’s mission, standards, or brand identity
• safety, privacy, or ethical considerations
• technical issues affecting playback, quality, or platform performance
• requests from rights holders or individuals appearing in the content
• platform updates, programming changes, or editorial decisions
ONDÍAM Global is not obligated to provide explanations for curation decisions and is not liable for any loss, impact, or expectation resulting from the acceptance, placement, or removal of content.
Curation decisions are final and made in service of maintaining a safe, elevated, and artist‑forward environment for audiences, content Contributors, and partners.
7. Payment Terms
Some ONDÍAM Global services may involve fees, including but not limited to submission fees, licensing fees, sponsorship arrangements, or participation in premium programs. All fees will be clearly stated at the point of purchase or submission.
Payments are processed through third‑party payment providers. By completing a transaction, you authorize ONDÍAM Global and its payment partners to charge the payment method you provide for all applicable fees, taxes, and charges.
Unless otherwise specified, all fees are non‑refundable, including fees paid for submissions, reviews, or platform services. Refunds may be issued only when required by law or when explicitly stated in writing by ONDÍAM Global.
You are responsible for ensuring that your payment information is accurate and up to date. ONDÍAM Global is not liable for delays, failures, or additional charges resulting from inaccurate payment details or issues with third‑party processors.
Participation in sponsorships, sublicensing opportunities, or other monetized programs is governed by ONDÍAM Global’s Revenue Share Terms, which outline how revenue is calculated, distributed, and paid to contributors when applicable.
8. Intellectual Property (ONDÍAM Global IP)
All content, trademarks, service marks, logos, branding elements, platform designs, layouts, interfaces, features, text, graphics, audiovisual materials, and any other proprietary assets made available through ONDÍAM Global are the exclusive property of Annouxvelle Communications, LLC, including its subsidiaries Neuxrain Productions and ONDÍAM Global, or are used under valid license.
Users and content contributors are prohibited from copying, reproducing, distributing, modifying, creating derivative works from, publicly displaying, publicly performing, transmitting, or otherwise exploiting any part of ONDÍAM Global’s intellectual property without prior written permission from Annouxvelle Communications, LLC.
No rights or licenses are granted to users by implication, estoppel, or otherwise, except for the limited permissions expressly stated in these Terms. Unauthorized use of ONDÍAM Global’s intellectual property may result in legal action, including claims for damages, injunctive relief, and recovery of legal fees.
All goodwill arising from the use of ONDÍAM Global’s trademarks or brand assets shall inure exclusively to Annouxvelle Communications, LLC.
9. Prohibited Conduct
Users and content contributors are strictly prohibited from engaging in any conduct that harms, disrupts, or undermines ONDÍAM Global, its community, or its operations. The following activities are not permitted under any circumstances:
• Uploading or submitting unlawful, infringing, defamatory, hateful, harassing, exploitative, or otherwise harmful content.
• Submitting content that includes minors in any featured, identifiable, or central capacity, regardless of parental consent, except for youth content created and submitted exclusively through approved educational institutions participating in the ONDÍAM Global Media Arts Corps.
• Using unlicensed music, footage, artwork, or other copyrighted materials without proper rights and permissions.
• Attempting to bypass, disable, or interfere with platform security, technical protections, or access controls.
• Scraping, harvesting, or collecting data from ONDÍAM Global, including automated bots, crawlers, or unauthorized tools.
• Reverse‑engineering, copying, or replicating any part of the platform’s design, interface, or proprietary systems.
• Uploading malware, harmful code, or any material intended to disrupt or damage the platform or its users.
• Impersonating ONDÍAM Global staff, representatives, or other contributors, or misrepresenting your identity or affiliation.
• Engaging in abusive, threatening, or harmful behavior toward other users, contributors, or ONDÍAM Global personnel.
• Using the platform for commercial solicitation or unauthorized advertising outside of ONDÍAM Global’s approved programs.
Interfering with curation, programming, or editorial decisions, including attempts to pressure, influence, or circumvent the review process.
ONDÍAM Global reserves the right to investigate violations, remove content, suspend or terminate accounts, and take legal action when necessary to protect the platform, its contributors, and its audien
10. Disclaimers & Limitation of Liability
ONDÍAM Global is provided on an “as‑is” and “as‑available” basis. Annouxvelle Communications, LLC, including its subsidiaries Neuxrain Productions and ONDÍAM Global, disclaims all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non‑infringement, and uninterrupted or error‑free operation.
We do not guarantee that the platform will be secure, available at all times, free from technical issues, or compatible with every device or browser. We do not guarantee that submitted content will be accepted, featured, monetized, or remain available on the platform.
To the fullest extent permitted by law, ONDÍAM Global is not liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:
• use of or inability to use the platform
• content submitted by contributors or third parties
• errors, omissions, interruptions, delays, or technical failures
• unauthorized access to accounts or data
• actions taken during curation, review, or removal of content
• interactions between users, contributors, or third parties
• sponsorship placements, sublicensing arrangements, or distribution decisions
Your sole and exclusive remedy for dissatisfaction with the platform is to discontinue use of ONDÍAM Global.
Some jurisdictions do not allow certain limitations of liability. In such cases, the ONDÍAM Global liability is limited to the maximum extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Annouxvelle Communications, LLC, including its subsidiaries Neuxrain Productions and ONDÍAM Global, and all of their officers, directors, employees, contractors, partners, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, expenses, and legal fees arising out of or related to:
your submissions, conduct, or use of the platform
any breach of these Terms or other ONDÍAM Global policies
any allegation that your content infringes upon or violates the rights of any third party
any dispute involving individuals, locations, music, artwork, or materials appearing in your content
any misrepresentation you make regarding rights, permissions, or ownership
any legal action or claim brought by a third party based on your content or actions
ONDÍAM Global reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with any such defense and to provide all information, documentation, and assistance reasonably requested.
This indemnification obligation survives the termination of your account, the removal of your content, and your use of the platform.
12. Termination
ONDÍAM Global may suspend or terminate access to the platform, remove content, or restrict the privileges of any user or content contributor at any time, with or without notice, for any reason or no reason, including but not limited to violations of these Terms, legal concerns, safety issues, or actions that interfere with platform operations or curation.
Upon termination, all rights granted to you under these Terms immediately cease. ONDÍAM Global is not liable for any loss, impact, or expectation resulting from the suspension or termination of access, the removal of content, or the discontinuation of any platform feature or service.
Termination does not limit or affect any rights or remedies available to ONDÍAM Global under law or equity, and all provisions of these Terms that by their nature should survive termination—including intellectual property protections, indemnification, disclaimers, and limitations of liability—shall continue in full force and effect.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict‑of‑law principles. Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the platform, or any content submitted to ONDÍAM Global shall be resolved exclusively in the state or federal courts located in Denver County, Colorado.
You consent to the personal jurisdiction and venue of these courts and waive any objection to such jurisdiction or venue, including claims of inconvenient forum.
Before initiating formal legal action, you agree to first attempt to resolve the dispute through good‑faith, informal negotiation with ONDÍAM Global. If the dispute cannot be resolved informally, the parties may mutually agree to mediation or another alternative dispute resolution process. Participation in such processes does not waive ONDÍAM Global’s right to pursue legal remedies.
Nothing in this section prevents ONDÍAM Global from seeking injunctive or equitable relief to protect its intellectual property, proprietary rights, or platform integrity.
14. Changes to the Terms
ONDÍAM Global may modify, update, or revise these Terms at any time. When changes are made, the updated Terms will be posted on the platform with the “Last Updated” date revised accordingly. Continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Terms.
ONDÍAM Global is not obligated to provide individualized notice of changes, and it is your responsibility to review the Terms periodically. If you do not agree to the updated Terms, you must discontinue use of the platform and, if applicable, cease submitting content.
15. Miscellaneous
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
No waiver of any term or condition shall be deemed a further or continuing waiver of that term or any other term. Failure by ONDÍAM Global to assert a right or enforce a provision under these Terms does not constitute a waiver of such right or provision.
These Terms constitute the entire agreement between you and Annouxvelle Communications, LLC regarding your use of ONDÍAM Global and supersede any prior or contemporaneous understandings, communications, or agreements, whether written or oral, relating to the subject matter herein.
You may not assign or transfer any rights or obligations under these Terms without prior written consent from ONDÍAM Global. We may assign these Terms, in whole or in part, at any time without notice.
Nothing in these Terms shall be construed as creating any partnership, joint venture, employment relationship, or agency between you and ONDÍAM Global. Content Contributors and users act solely as independent parties.

Notices sent by email are deemed received when delivered to a functioning address monitored by ONDÍAM Global. Notices sent by mail are deemed received upon confirmed delivery.
17. Revenue Share Terms
17. a. Overview of Revenue Participation
Content Contributors may be eligible to receive a share of revenue generated from:
sponsorship placements attached to their content
Shorts Stacking™ programming blocks
series‑level sponsorships
sublicensing or distribution arrangements
other monetized programs introduced by ONDÍAM Global
Revenue share applies only to content that is accepted, published, and actively monetized by ONDÍAM Global. Monetization is not guaranteed at any stage, including:
• before monetization,,
• during the licensing period,
• during any renewal period, or
• after sponsorship or sublicensing concludes.
No Contributor is entitled to ongoing, recurring, or perpetual payments once monetization ends, sponsorship inventory expires, or sublicensing terms conclude. Any upfront licensing payment issued by ONDÍAM Global is a one‑time payment that covers the specific licensing term for which it is paid and does not renew automatically or create any expectation of future or repeated payments. Sponsorship revenue is limited strictly to the defined sponsorship period secured by ONDÍAM Global and does not continue beyond that period, regardless of the length of the Contributor’s licensing term or the continued availability of the content on the platform.
ONDÍAM Global may modify, pause, or discontinue monetization programs at its discretion.
17.b. Sponsorship Revenue Share (Standard Model)
For sponsorship placements directly attached to a contributor’s content:
60% of net sponsorship revenue is paid to the content Contributor
40% of net sponsorship revenue is retained by ONDÍAM Global
“Net sponsorship revenue” means revenue received by ONDÍAM Global after deducting applicable transaction fees, processing costs, taxes, and third‑party expenses directly related to the sponsorship.
17.c. Shorts Stacking™ Revenue
Shorts Stacking™ is the ONDÍAM Global curated programming block that pairs multiple short films with a single sponsor message.
Revenue generated from Shorts Stacking™ is distributed as follows:
Contributors whose content appears in a Shorts Stacking™ block receive 60% of the net sponsorship revenue divided proportionally based on sponsorship placement within the block.
ONDÍAM Global retains 40% of the net revenue.
This revenue is tied to the sponsorship placement, not to individual views or watch time.
17.d. Series Sponsorship Revenue
For episodic content or long‑form series that include a designated sponsor ad space:
Contributors receive 60% of net series sponsorship revenue tied to their series.
ONDÍAM Global retains 40% of net revenue.
Contributors must ensure that ad space is clearly indicated in the content file as noted in their Contributor Agreement, and ensure that the file is technically suitable for sponsor placement.
17.e. Sublicensing and Distribution Revenue
If ONDÍAM Global sublicenses or distributes a contributor’s content to a third‑party platform, festival, network, or institution:
Contributors receive 60% of net sublicensing or distribution revenue attributable to their content.
ONDÍAM Global retains 40% of net revenue.
Net revenue excludes third‑party fees, delivery costs, legal expenses, and other direct costs associated with the sublicensing arrangement.
17.f. Other Monetized Programs
Unless otherwise stated in writing, all additional monetized programs follow the 60/40 net revenue share model, with 60% to the Contributor and 40% to ONDÍAM Global.
17.g. Payment Schedule
Revenue share payments are calculated and paid on a periodic basis determined by ONDÍAM Global, typically quarterly, and only for periods in which ONDÍAM Global has secured active monetization for the Contributor’s content. Revenue share payments do not continue after monetization ends, regardless of the length of the Contributor’s licensing term or the continued availability of the content on the platform.
The upfront licensing fee, when applicable, is a one‑time payment that covers the specific licensing term for which it is paid and does not renew automatically or create any expectation of future or repeated payments.
Contributors are responsible for providing accurate payment information and for any fees associated with receiving payments.
17.h. Reporting
Contributors will have access to periodic reporting that outlines:
revenue earned
applicable deductions
payout status
placement information (when relevant)
Reporting may evolve as ONDÍAM Global enhances its analytics systems.
17.i. Taxes
Contributors are responsible for all taxes associated with revenue they receive. ONDÍAM Global may require tax documentation (such as W‑9 or W‑8BEN forms) before issuing payments.
Failure to provide required tax information may delay or prevent payouts.
17.j. Disputes
Any disputes regarding revenue calculations must be submitted in writing within 30 days of the reporting period in question. ONDÍAM Global will review the dispute and provide a response, however, all revenue calculations made in good faith are final.
17.k. Termination of Revenue Share
Revenue share eligibility ends when:
the Contributor’s content is removed from the platform,
the Contributor’s account is terminated,
sponsorship for the Contributor’s content ends and no new sponsorship period has been secured,
the monetized program is discontinued,
the sublicensing term expires.
Revenue already earned but not yet paid will be issued according to the standard payout schedule, provided the contributor remains eligible to receive payments.
17.l. Amendments
ONDÍAM Global may update these Revenue Share Terms as needed. Continued participation in monetized programs constitutes acceptance of any updated terms.

18. Contributor Guidelines
18.a. Welcome to ONDÍAM Global
ONDÍAM Global is a curated, cinematic media network dedicated to elevating global voices and premium short‑form storytelling. These Contributor Guidelines outline what you can submit, how to prepare your work, and what to expect throughout the submission and curation process.
These guidelines are not a legal contract. They exist to support clarity, creative excellence, and a respectful, artist‑centered environment.
18.b. Who Can Submit
Submissions are open to:
• Adult producers and creators (18+) submitting original work they fully own or control.
• Media Arts Corps educational institutions submitting youth‑created work through approved school channels.
Individual minors may not submit content directly under any circumstances.
18.c.. What You May Submit
ONDÍAM Global accepts cinematic short‑form content including:
• Short-form episodic series, including digitally produced cinematic series
• Narrative short films (contemporary and earlier works)
• Documentary short films
• History and educational short-form films
• Heritage and cultural short films
• Performing arts films (dance, concerts, opera, etc.)
• Cinematic book and film trailers
• Visual arts films (process and presentation based)
• Animated graphic novel adaptations
• Spoken word performances
• Audio drama
• Audio arts
• Experimental short-form works
• Sign language literary works
All submissions must be complete works. Works‑in‑progress are not accepted.
18.d. Rights & Ownership Requirements
Contributors must:
• own or control all rights to the submitted content;
• secure all music, footage, artwork, and likeness permissions;
• ensure all performers are adults (18+), except for Media Arts Corps school submissions; and
• confirm rights ownership during submission and again in the Contributor Agreement.
Content containing minors is prohibited unless submitted exclusively through an approved Media Arts Corps institution.
18.e. Technical Specifications
To ensure cinematic quality across devices, submissions should meet the following standards:
• Resolution: 1080p or higher
• Aspect Ratio: 16:9 (preferred), 9:16, or cinematic ratios (2.39:1, 1.85:1)
• Audio: Clean, mixed, and free of distortion
• File Format: MP4 (H.264 or H.265 preferred)
• Length: All Forms: up to 20 minutes
• Short Form Episodic Series: up to 20 minutes per episode
ONDÍAM Global may request a higher‑resolution master if your work is selected.
18.f. Sponsorship‑Ready Structure
Monetization is not guaranteed, however, to participate in monetized programs, contributors may include:
• A clear designated and agreed upon space inside their file for series or episodic content;
• A clean open and close without third‑party branding; and
• No embedded ads or sponsor messages.
If your work is selected for sponsorship, ONDÍAM Global will handle all sponsor integrations.
18.g. Shorts Stacking™ Eligibility
Shorts Stacking™ is the ONDÍAM Global curated block pairing multiple short films with a single sponsor message.
Eligibility requires:
• cinematic quality
• strong narrative or artistic cohesion
• clean open/close
• no embedded branding
• compliance with all rights and technical standards
Sponsor placement is not guaranteed and will be determined by the ONDÍAM Global curation team.
18.h. Submission Process
The submission pathway includes:

18.i. Curation Process
ONDÍAM Global is a curated platform. Acceptance is based on:
• cinematic quality,
• narrative strength,
• originality,
• global resonance, and
• alignment with ONDÍAM’s mission and brand identity.
Curation decisions are final and may not include individualized feedback.
18.j. Updating or Removing Content
Contributors may request updates or removal of their content by contacting ONDÍAM Global. Requests are honored when feasible, except when:
• the content is under active sponsorship,
• the content is part of a sublicensing agreement, or
• removal would violate contractual obligations.
ONDÍAM Global may also remove content at its discretion.
18.k Community Expectations
Contributors are expected to:
• engage respectfully,
• uphold professional standards,
• avoid harassment or harmful behavior, and
• maintain accurate account and rights information,
ONDÍAM Global reserves the right to restrict access for violations.
19. Privacy Policy
19.a. Overview
This Privacy Policy explains how ONDÍAM Global collects, uses, and protects personal information. By using the platform, you agree to the practices described here.
ONDÍAM Global does not sell personal information and does not allow third‑party tracking across the platform.
19.b. Information We Collect
We may collect:
• Account information (name, email, password);
• Submission information (content, metadata, rights confirmations);
• Usage data (analytics, device type, interactions);
• Payment information (processed securely by third‑party providers);
• Communications (emails, support messages);and
• Cookies and similar technologies (for platform functionality only).
We do not collect sensitive personal information unless required for legal compliance.
19.c. How We Use Information
We use information to:
• operate and improve the platform,
• process submissions,
• communicate with Contributors,
• ensure safety and compliance,
• analyze performance and engagement,
• manage sponsorship and monetization programs, and
• fulfill legal obligations.
We do not use personal information for targeted advertising.
19.d. What We Do Not Do
ONDÍAM Global does not:
• sell personal information,
• share Contributor data with advertisers,
• allow third‑party tracking pixels,
• permit cross‑platform behavioral profiling, or
