TERMS OF SERVICE

1. Introduction & Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the ONDÍAM Global Digital Media Network, including all websites, platforms, services, and content operated by Annouxvelle Communications, LLC, and its subsidiaries Neuxrain Productions, and ONDÍAM Global (collectively, “ONDÍAM Global,” “we,” “us,” or “our”).

ONDÍAM Global is used as a stylized trade name and brand identity for ONDIAM Global, a trade name of Annouxvelle Communications, LLC.

By accessing or using any ONDÍAM Global service, including viewing content, submitting creative works, participating in ONDÍAM Global Market Connect, participating in the ONDÍAM Global Media Arts Corps, or engaging with any part of the platform, you agree to be bound by these Terms and all applicable policies referenced within them.

If you do not agree to these Terms, you may not use the ONDÍAM Global services.

We may update or modify these Terms at any time. When changes are made, the updated version will be posted on our website with a revised “Last Updated” date. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Colorado, without regard to conflict‑of‑law principles.

2. Eligibility

The ONDÍAM Global Digital Media Network is intended for adults who can legally enter binding agreements. By accessing or using any ONDÍAM Global service, you represent and warrant that:

• You are 18 years of age or older.

• You have the legal capacity to enter into these Terms.

• Any content you submit is your own original work or you have secured all necessary rights and permissions to submit it.

• ONDÍAM Global accepts only content featuring adult performers. All intentionally featured, identifiable, or central individuals appearing in submitted content must be 18 years of age or older, see exception in Section 2.1.

Incidental background appearances of individuals in public places, where no reasonable expectation of privacy exists, are permitted.

Portrayals of youth or childhood may be included only through non‑minor representation (such as adult actors, AI‑generated characters, or other creative techniques that do not involve real minors).

Youth participation is permitted only through the ONDÍAM Global Media Arts Corps and must be submitted exclusively by approved educational institutions. Content created within the Media Arts Corps is governed by separate youth‑program policies and is not eligible for general network placement.

Individuals under 18 may not create accounts, submit content, or participate directly on the platform.

Youth participation is available only through approved educational institutions and programs within the ONDÍAM Global Media Arts Corps.

ONDÍAM Global may refuse access to any user who does not meet these eligibility requirements.

2.1 Licensed Professional Content Exception

As a general standard, all featured, identifiable, or central individuals appearing in submitted content must be 18 years of age or older, as set forth in Section 2.

ONDIAM Global recognizes that certain professionally produced films, series, and media works lawfully feature minor performers under established industry protections in their country of production. ONDIAM Global may, at its sole discretion, accept such works as a limited exception to the general eligibility standard when the following conditions are met:

a) The work was produced by a licensed, recognized production company or studio operating under the applicable entertainment, labor, and child protection laws of its country of production.

b) The Contributor provides documentation demonstrating that all minor performers were engaged in accordance with those applicable laws, including any required work permits, limitations on working hours, mandatory education provisions, and on-set guardian or chaperone requirements.

c) The Contributor confirms, and ONDIAM Global independently verifies to the extent reasonably possible, that parental or legal guardian consent was obtained for the minor's participation.

d) The content contains no sexualized, exploitative, violent-for-shock-value, or otherwise harmful depiction of the minor performer, regardless of any permits, consents, or legal compliance otherwise documented. This condition applies without exception and overrides any other criteria in this section.

e) The submission is reviewed and approved individually. Approval of one work does not establish approval of other works by the same production company, director, or performer, and does not create an ongoing or automatic acceptance category.

ONDIAM Global reserves the right to request additional documentation, decline any submission under this exception without explanation, and revoke a prior approval at any time if new information raises concern about a minor's treatment, consent, or safety during production.

This exception applies only to acquired or licensed third-party works meeting the above criteria. It does not apply to original content submitted directly by individual Contributors, which remains governed by the standard 18+ requirement and the Media Arts Corps Youth Division pathway described elsewhere in Section 2.

3. User Accounts & Security

Some ONDÍAM Global services may require a user account. When creating an account, you agree to provide accurate, current information and to update it as needed to keep it true and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify ONDÍAM Global immediately if you suspect unauthorized access, a security breach, or any misuse of your account. ONDÍAM Global is not liable for any loss or damage arising from your failure to safeguard your credentials.

ONDÍAM Global may suspend or terminate accounts that violate these Terms, contain false information, or pose a risk to the platform, its users, or its operations. Account access is limited to individuals who meet the eligibility requirements outlined in Section 2.

4. Content Submissions: Rights & Ownership Warranties

Producers and Creators, (referred to throughout as Content Contributors), who submit content to ONDÍAM Global are responsible for ensuring that their work is lawful, original, and aligned with the platform’s standards.

By submitting content to ONDÍAM Global, you represent and warrant the following:

a) Any content you submit is your own original work, or you hold sufficient rights and authority to grant ONDÍAM Global the license described in Section 5, free of any conflicting exclusive arrangement with a third party that would prohibit or materially restrict the submission or the rights granted under Section 5.

b) If your content is subject to an existing exclusive license, distribution agreement, or similar arrangement with another entity, you represent that your submission and the rights and licenses granted to ONDÍAM Global under Section 5, including applicable copyright, distribution, streaming, and other related rights, do not violate that arrangement and that you retain the necessary rights and authority to submit the content and grant those rights and licenses to ONDÍAM Global.

c) You have secured all necessary and required third-party permissions or releases for music, footage, locations, performances, artwork, likeness, and any other copyrighted or protected material included in your submission for the content's use and distribution on the ONDÍAM Global network.

d) All performers featured in the content are 18 years of age or older, except where the content qualifies under the Media Arts Corps Youth Division pathway or the Licensed Professional Content Exception described in Section 2.

e) Incidental background appearances of individuals in public places, where no reasonable expectation of privacy exists, are permitted, provided that such appearances and the content's use and distribution comply with applicable law and do not otherwise violate applicable privacy, publicity, or other legal rights.

f) Your content does not infringe on any copyright, trademark, privacy right, publicity right, or other legal protection.

g) Your content does not contain unlawful, defamatory, hateful, harassing, exploitative, or harmful material.

h) Your content does not include nudity, sexually explicit material, or depictions of minors in any context that violates applicable law or the ONDÍAM Global standards.

i) Your submission complies with all applicable laws and regulations in your jurisdiction and in the United States.

j) You confirm these rights honestly and accurately both at the time of submission and again within the Contributor Network Agreement, should your content be accepted.

k) You are responsible for claims, losses, damages, liabilities, and reasonable legal expenses arising from your breach of the warranties in this section, your failure to secure required rights or permissions, or your other unlawful conduct in connection with your submission, subject to the indemnification obligations set forth in Section 11.

ONDÍAM Global reserves the right to request proof of rights, releases, licensing agreements, or permissions at any time, including documentation addressing any potential exclusivity conflict, and may reject, decline or remove content if such proof is not provided or raises concern.

Any breach of the warranties in this section, including a conflict with an existing exclusive arrangement, falls within the scope of the indemnification obligations set forth in Section 11.

Content submissions are reviewed and approved individually. Approval of one work does not establish approval of other works by the same production company, director, or performer, and does not create an ongoing or automatic acceptance category.

5. License Granted to ONDÍAM Global

By submitting content to the ONDÍAM Global Digital Media Network, you represent that you hold the rights and authority necessary to grant the license described in this section.

Upon acceptance of your content by ONDÍAM Global, you grant Annouxvelle Communications, LLC, including its subsidiaries, a non-exclusive, worldwide, royalty-free license to host, display, stream, promote, distribute, and otherwise make your approved content available across the ONDÍAM Global Digital Media Network, platforms, and services.

This license includes the right to:

a) Exhibit and stream your content on the ONDÍAM Global websites, channels, and digital properties.

b) Promote your work through trailers, excerpts, thumbnails, still images, showcases, and editorial features that help audiences discover your story.

c) Format, encode, or adapt your content as needed for technical delivery, without altering the creative essence of the work.

d) Present sponsor messages or platform‑level promotional placements in connection with your content, including pre‑roll, mid‑roll, end‑roll, or curated programming blocks, in ways that do not alter the creative essence of your work.

e) Sublicense your content to trusted distribution partners, cultural institutions, festivals, and media networks, when applicable, for the purpose of elevating visibility, expanding reach, and amplifying the impact of your work, subject to the applicable terms governing such arrangements.

You retain full rights and ownership of your content. Nothing in these Terms transfers or diminishes your copyright.

Any sublicensing arrangement or external revenue‑generating opportunity involving your specific content will be governed by The ONDÍAM Global Revenue Share Terms, which outline how Content Contributors may participate in economic value if and when such opportunities occur. Revenue generated from The ONDIAM Global 24/7 Live Stream or ONDIAM Global produced programming is not included in Content Contributor revenue share. Content Contributors are eligible for ONDIAM Global revenue share derived directly from network advertisements directed to their individual VOD channel or content zone. Additional details can be found in the Network Agreement.

ONDÍAM Global may curate, feature, or decline submissions at its discretion, consistent with The ONDÍAM Global Digital Media Network mission and standards.

If ONDÍAM Global declines a content submission, no license to use that content is granted, and ONDÍAM Global will not exhibit, stream, distribute, promote, or otherwise make the content publicly available under these Terms.

ONDÍAM Global may retain copies of declined or removed content, along with associated submission records, permissions, licenses, and related documentation, as reasonably necessary for legitimate archival, administrative, compliance, dispute-resolution, and legal purposes.

6. Curation and Removal Rights

ONDÍAM Global is a curated media network. Submission does not guarantee acceptance, publication, or continued placement on the platform. We reserve the right, at our sole discretion, to review, select, feature, decline, or remove any content at any time.

Content may be declined or removed for reasons including, but not limited to:

• concerns related to rights, permissions, or legal compliance

• violations of these Terms or other platform and network policies

• misalignment with the ONDÍAM Global mission, standards, or brand identity

• safety, privacy, or ethical considerations

• technical issues affecting playback, quality, or platform performance

• requests from rights holders or individuals appearing in the content

• network and platform updates, programming changes, or editorial decisions

ONDÍAM Global is not obligated to provide explanations for curation decisions and is not liable for any loss, impact, or expectation resulting from the acceptance, placement, or removal of content.

Curation decisions are final and made in service of maintaining a safe, elevated, and artist‑forward environment for audiences, Content Contributors, and partners.

7. Payment Terms

Some ONDÍAM Global services may involve fees, including but not limited to set-up fees, submission fees, licensing fees, sponsorship arrangements, placement renewal fees, or participation in premium programs. All fees will be clearly stated at the point of purchase or submission.

Payments are processed through third‑party payment providers. By completing a transaction, you authorize ONDÍAM Global and its payment partners to charge the payment method you provide for all applicable fees, taxes, and charges.

Unless otherwise specified, set-up fees and renewal fees are non‑refundable; premium services and add-on service fees are refundable for requests made within 72 hours of payment; business collaboration and advertising partnership fees are refundable for requests made within 48 hours of payment. Refunds may be issued within 14 days of refund request.

You are responsible for ensuring that your payment information is accurate and up to date. ONDÍAM Global is not liable for delays, failures, or additional charges resulting from inaccurate payment details or issues with third‑party processors.

Participation in sponsorships, sublicensing opportunities, or other monetized programs is governed by the ONDÍAM Global Revenue Share Terms, which outline how revenue is calculated, distributed, and paid to contributors when applicable. The ONDÍAM Global Revenue Share Terms may be updated at any time, and if done so, a notice to all participants will follow any updates. ONDÍAM Global business collaborations and advertising partnerships payment and refund terms shall be governed by the contract agreement.

8. Intellectual Property (ONDÍAM Global IP)

All content, trademarks, service marks, logos, branding elements, platform designs, layouts, interfaces, features, text, graphics, audiovisual materials, and any other proprietary assets made available through ONDÍAM Global are the exclusive property of Annouxvelle Communications, LLC, including its subsidiaries, or are used under valid license.

Users and Content Contributors are prohibited from copying, reproducing, distributing, modifying, creating derivative works from, publicly displaying, publicly performing, transmitting, or otherwise exploiting any part of the ONDÍAM Global Digital Media Network intellectual property without prior written permission from ONDÍAM Global or Annouxvelle Communications, LLC.

No rights or licenses are granted to users by implication, estoppel, or otherwise, except for the limited permissions expressly stated in these Terms. Unauthorized use of the ONDÍAM Global Digital Media Network intellectual property may result in legal action, including claims for damages, injunctive relief, and recovery of legal fees.

All goodwill arising from the use of the ONDÍAM Global Digital Media Network trademarks or brand assets shall inure exclusively to Annouxvelle Communications, LLC.

9. Prohibited Conduct

Users and Content Contributors are strictly prohibited from engaging in any conduct that harms, disrupts, or undermines ONDÍAM Global, its community, or its network operations. The following activities are not permitted under any circumstances:

• Uploading or submitting unlawful, infringing, defamatory, hateful, harassing, exploitative, or otherwise harmful content.

• Submitting content that includes minors in any featured, identifiable, or central capacity, regardless of parental consent, except for youth content created and submitted exclusively through approved educational institutions participating in the ONDÍAM Global Media Arts Corps.

• Using unlicensed music, footage, artwork, or other copyrighted materials without proper rights and permissions.

• Attempting to bypass, disable, or interfere with platform security, technical protections, or access controls.

• Scraping, harvesting, or collecting data from ONDÍAM Global, including automated bots, crawlers, or unauthorized tools.

• Reverse‑engineering, copying, or replicating any part of the platform’s design, interface, or proprietary systems.

• Uploading malware, harmful code, or any material intended to disrupt or damage the platform, network, or its users.

• Impersonating ONDÍAM Global staff, representatives, or other contributors, or misrepresenting your identity or affiliation.

• Engaging in abusive, threatening, or harmful behavior toward other users, contributors, or ONDÍAM Global personnel.

• Attempting to use The ONDIAM Global platform as a commercial advertising or solicitation channel outside of ONDIAM Global approved programs.

Interfering with curation, programming, or editorial decisions, including attempts to pressure, influence, or circumvent the review process.

ONDÍAM Global reserves the right to investigate violations, remove content, suspend or terminate accounts, and take legal action when necessary to protect the platform, its network, its contributors, and its audience.

10. Disclaimers & Limitation of Liability

ONDÍAM Global is provided on an “as‑is” and “as‑available” basis. Annouxvelle Communications, LLC, including its subsidiaries, disclaims all warranties of any kind, whether expressed or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non‑infringement, and uninterrupted or error‑free operation.

We do not guarantee that the platform will be secure, available at all times, free from technical issues, or compatible with every device or browser.

We do not guarantee that submitted content will be accepted, featured, monetized, or remain available on the platform.

To the fullest extent permitted by law, ONDÍAM Global is not liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• use of or inability to use the platform

• content submitted by contributors or third parties

• errors, omissions, interruptions, delays, or technical failures

• unauthorized access to accounts or data

• actions taken during curation, review, or removal of content

• interactions between users, contributors, or third parties

• sponsorship placements, sublicensing arrangements, or distribution decisions

Your sole and exclusive remedy for dissatisfaction with the platform is to discontinue use of ONDÍAM Global.

Some jurisdictions do not allow certain limitations of liability. In such cases, the ONDÍAM Global liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Annouxvelle Communications, LLC, including its subsidiaries Neuxrain Productions and ONDÍAM Global, and all of their officers, directors, employees, contractors, partners, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, expenses, and legal fees arising out of or related to:

your submissions, conduct, or use of the platform and network
any breach of these Terms or other ONDÍAM Global policies
any allegation that your content infringes upon or violates the rights of any third party
any dispute involving individuals, locations, music, artwork, or materials appearing in your content
any misrepresentation you make regarding rights, permissions, or ownership
any legal action or claim brought by a third party based on your content or actions

ONDÍAM Global reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with any such defense and to provide all information, documentation, and assistance reasonably requested.

This indemnification obligation survives the termination of your account, the removal of your content, and your use of the platform and network.

12. Termination

ONDÍAM Global may suspend or terminate access to the platform and network, remove content, or restrict the privileges of any user or content contributor at any time, with or without notice, for any reason or no reason, including but not limited to violations of these Terms, legal concerns, safety issues, or actions that interfere with platform operations or curation.

Upon termination, all rights granted to you under these Terms immediately cease. ONDÍAM Global is not liable for any loss, impact, or expectation resulting from the suspension or termination of access, the removal of content, or the discontinuation of any platform or network feature or service.

Termination does not limit or affect any rights or remedies available to ONDÍAM Global under law or equity, and all provisions of these Terms that by their nature should survive termination, including intellectual property protections, indemnification, disclaimers, and limitations of liability, shall continue in full force and effect.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict‑of‑law principles. Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the platform and network, or any content submitted to ONDÍAM Global shall be resolved exclusively in the state or federal courts located in Denver County, Colorado.

You consent to the personal jurisdiction and venue of these courts and waive any objection to such jurisdiction or venue, including claims of inconvenient forum.

Before initiating formal legal action, you agree to first attempt to resolve the dispute through good‑faith, informal negotiation with ONDÍAM Global. If the dispute cannot be resolved informally, the parties may mutually agree to mediation or another alternative dispute resolution process. Participation in such processes does not waive the ONDÍAM Global Media Network rights to pursue legal remedies.

Nothing in this section prevents ONDÍAM Global from seeking injunctive or equitable relief to protect its intellectual property, proprietary rights, or platform integrity.

14. Changes to the Terms

ONDÍAM Global may modify, update, or revise these Terms at any time. When changes are made, the updated Terms will be posted on the platform with the “Last Updated” date revised accordingly. Continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Terms.

ONDÍAM Global is not obligated to provide individualized notice of changes, and it is your responsibility to review the Terms periodically. If you do not agree to the updated Terms, you must discontinue use of the platform and, if applicable, cease submitting content.

15. Miscellaneous

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

No waiver of any term or condition shall be deemed a further or continuing waiver of that term or any other term. Failure by ONDÍAM Global to assert a right or enforce a provision under these Terms does not constitute a waiver of such right or provision.

These Terms constitute the entire agreement between you and Annouxvelle Communications, LLC d/b/a ONDÍAM Global regarding your use of ONDÍAM Global and supersede any prior or contemporaneous understandings, communications, or agreements, whether written or oral, relating to the subject matter herein.

You may not assign or transfer any rights or obligations under these Terms without prior written consent from ONDÍAM Global. We may assign these Terms, in whole or in part, at any time without notice.

Nothing in these Terms shall be construed as creating an employment relationship or agency between you and Annouxvelle Communications, LLC  d/b/a   ONDÍAM Global. Business Partners, Content Contributors, and users act as independent parties and are fully responsible for any taxes, fees, or obligations arising from their own business activities.

Partnerships established through ONDÍAM Global are strategic and collaborative in nature, not employment‑based. Each party retains independent control of its operations and agrees that participation does not create eligibility for workers’ compensation, unemployment benefits, or other employment‑related protections.

Notices sent by email are deemed received when delivered to a functioning address monitored by ONDÍAM Global. Notices sent by mail are deemed received upon confirmed delivery.

17. Revenue Share Terms

17. a. Overview of Revenue Participation

Content Contributors may be eligible to receive a share of revenue generated from:

business advertisement placements attached to their content and ad zones, when available
collaborative sponsorship placements attached to their content, when available
series‑level sponsorships, when available
sublicensing, when developed
other monetized programs introduced by ONDÍAM Global

Revenue share applies only to content that is accepted, published, and actively monetized by ONDÍAM Global. Monetization is not guaranteed at any stage, including:

• before monetization, while placed on the network,

• during the licensing period,

• during any renewal period, or

• after sponsorship or sublicensing concludes.

No content contributor is entitled to ongoing, recurring, or perpetual payments once monetization ends, sponsorship inventory expires, or sublicensing terms conclude.

If applicable, any upfront licensing payment issued by Annouxvelle Communications, LLC d/b/a ONDÍAM Global, is a one‑time payment that covers the specific licensing term for which it is paid and does not renew automatically or create any expectation of future or repeated payments. Alternate payment arrangements may be possible when expressly defined within a separate licensing agreement.

If applicable, any business advertisement revenue and sponsorship revenue is limited strictly to the defined ad campaign and time period secured by ONDÍAM Global and does not continue beyond that period, regardless of the length of the Contributor’s continued availability of the content on the platform.

Annouxvelle Communications LLC and ONDÍAM Global may modify, pause, or discontinue monetization programs at its discretion.

17.b. Revenue Share Terms

If network advertisement revenue is directed to a specific content zone, it will be applied across The ONDÍAM Global Unified Ad Zone in accordance with the business partner campaign budget and defined time frame. This process occurs only if ONDIAM Global secures such a campaign.

Content Contributors receive forty percent (40%) of the advertisement revenue allocated to their content based on their Audience View Percentage within the Unified Ad Zone during the active campaign window. Audience View Percentage represents the proportion of total views their content receives relative to other content included in the same Ad Zone during the defined campaign period.

Revenue share is calculated by applying the Contributor’s Audience View Percentage to the total campaign amount allocated to the Ad Zone, and then applying the forty percent (40%) Contributor share. A higher number of views during the campaign window results in a higher Audience View Percentage and therefore a higher share of the allocated revenue.

During any business campaign, revenue share is distributed among the Contributors included in the applicable Unified Ad Zone, providing eligibility for monetization opportunities while maintaining proportional allocation based on actual audience performance.

17.c. Series and Episodic Content

A “series” refers to any structured collection of related content presented in multiple parts within a Contributor’s VOD channel. Series may appear in any genre, including drama, coaching, beauty, lifestyle, wellness, or other categories curated by ONDÍAM Global. The presence of a series does not create special monetization rules or revenue share terms. As with all content, any monetization is determined solely by ONDÍAM Global and follows the standard revenue share model based on Audience View Percentage within the applicable Unified Ad Zone.

17.d. Sublicensing Revenue

If ONDÍAM Global sublicenses a Contributor’s content to a third‑party platform, festival, network, or institution, the Contributor will receive sixty percent (60%) of net sublicensing revenue attributable to their specific content. ONDÍAM Global retains forty percent (40%) of net revenue.

Net revenue excludes third‑party fees, delivery costs, legal expenses, and other direct costs associated with the sublicensing arrangement. Sublicensing opportunities occur only at the discretion of Annouxvelle Communications, LLC d/b/a ONDÍAM Global and may require a separate licensing agreement.

17.e. Other Monetized Programs

Unless otherwise stated in writing, any additional monetized program introduced by ONDÍAM Global follows the standard forty percent (40%) Revenue Share Terms.

17.f. Payment Schedule

Revenue share payments are calculated and paid on a periodic basis determined by ONDÍAM Global, typically monthly, and only for periods in which ONDÍAM Global has secured active monetization for the Contributor content. Revenue share payments do not continue after monetization ends, regardless of the length of the Contributor’s continued availability of the content on the platform or network.

Content Contributors are responsible for providing accurate payment information and for any fees associated with receiving payments.

17.g. Reporting

Contributors may receive periodic reporting that outlines, when applicable:

revenue earned
applicable deductions
payout status
placement information, when relevant

Reporting is provided solely for informational purposes and may evolve as ONDÍAM Global enhances its analytics systems. Reporting does not guarantee monetization, future payments, or continued placement on the platform or network.

17.h. Taxes

Content Contributors are responsible for all taxes associated with any revenue they receive. ONDÍAM Global may require tax documentation, such as W‑9 or W‑8BEN forms, before issuing payments.

Failure to provide required tax information may delay or prevent payouts.

17.i. Disputes

Any disputes regarding revenue calculations must be submitted in writing within 30 days of the reporting period in question. ONDÍAM Global will review the dispute and provide a response, however, all revenue calculations made in good faith, using platform analytics data, are final.

17.j. Termination of Revenue Share

Revenue share eligibility ends when:

the Contributor’s content is removed from the platform,
the Contributor’s account is terminated,
sponsorship for the Contributor’s content ends and no new sponsorship period has been secured,
the monetized program is discontinued,
the sublicensing term expires.

Revenue already earned but not yet paid will be issued according to the standard payout schedule, provided the contributor remains eligible to receive payments.

17.k. Amendments

ONDÍAM Global may update these Revenue Share Terms as needed. Continued participation in any monetized activity constitutes acceptance of any updated terms.

18. Business Partner & Licensing Terms

These terms clarify how ONDÍAM Global manages paid partnerships, licensing arrangements, and business collaborations. All business‑facing relationships operate under separate agreements and do not alter the independent status of contributors or partners.

18.a. Upfront Licensing Payments

If applicable, any upfront licensing payment issued by Annouxvelle Communications, LLC d/b/a ONDÍAM Global is a one‑time payment covering the specific licensing term for which it is issued. Such payments do not renew automatically and do not create any expectation of future or repeated compensation. Any alternate payment structure must be expressly defined within a separate written Network Agreement or Licensing Agreement.

18.b. Business Partnerships Governed by Separate Agreements

All business partnerships, sponsorships, advertising arrangements, ONDÍAM Global Market Connect visibility packages, and commercial collaborations are governed by separate written agreements. These agreements define the scope, obligations, rights, and payment terms applicable to each partnership.

18.c. Content Creator Network Agreements

Content Contributors participating in ONDÍAM Global programming may be required to enter into a Network Agreement that governs the relationship, licensing permissions, usage rights, and terms of participation within the ONDÍAM Global network. These agreements operate independently from business partnership agreements.

18.d.‍ ‍Alternate Arrangements Require Written Agreement

Any deviation from standard terms, including custom licensing, special visibility packages, paid collaborations, or negotiated compensation, must be expressly documented in a separate written agreement signed by all parties.

18.e.‍ ‍ONDÍAM Global Discretion in Paid Partnerships

Annouxvelle Communications, LLC d/b/a ONDÍAM Global retains full discretion to determine eligibility, acceptance, pricing, structure, and continuation of all paid partnerships, sponsorships, licensing arrangements, and visibility packages.

19. Contributor Guidelines

19.a. Welcome to ONDÍAM Global

ONDÍAM Global is a curated, cinematic digital media network dedicated to elevating global voices and premium short‑form storytelling. These Contributor Guidelines outline what you can submit, how to prepare your work, and what to expect throughout the submission and curation process.

These guidelines are not a legal contract. They exist to support clarity, creative excellence, and a respectful, artist‑centered environment.

19.b. Who Can Submit

Submissions are open to:

Adult producers and creators (18+ years of age) submitting original work they fully own or control.
ONDÍAM Global Media Arts Corps Youth Division approved educational institutions, submitting youth related created works.
ONDÍAM Global Media Arts Corps Youth Division approved youth/community organizations submitting youth related created works.
ONDÍAM Global Media Arts Corps College Division approved educational institutions.

Individual minors may not submit content directly under any circumstances.

19.c. What You May Submit

ONDÍAM Global accepts uplifting works in the following genre areas:

Audio arts (interviews, poetry, spoken word, literary readings),
Experimental short-form works,
Sign language literary works,
Interior Design,
International News,
Current Events, Interviews, Entertainment News
Travel (Luxury and Educational), and
World Prayers.

All submissions must be complete works. Works‑in‑progress are not accepted.

19.d. Rights & Ownership Requirements

Contributors agree that:

a) Your content must be your own original work, or you must hold the rights necessary to submit it, free of conflict with any existing exclusive agreement.

b) You are responsible for securing all music, footage, artwork, likeness, and third-party permissions tied to your submission.

c) All performers featured must be 18 years of age or older, with limited exceptions for approved youth programs and licensed professional works.

d) By submitting, you agree to protect ONDÍAM Global from claims arising out of your content, as detailed in our full Rights & Ownership Warranties and Indemnification terms (Sections 4 and 11).; and you honestly confirm rights ownership during submission and again in the Contributor Network Agreement.

Content containing minors is prohibited unless submitted exclusively through an approved Media Arts Corps institutions.

19.e. Technical Specifications

All content contributor and business partner submissions must conform to the following technical standards to ensure compatibility and cinematic quality with the ONDÍAM Global network and its OTT distribution channels across all devices:

• Resolution: 1080p or higher

• Aspect Ratio:

16:9 (landscape required for all submissions),
cinematic ratios (2.39:1, 1.85:1) delivered within a 16:9 frame,
9:16 vertical content must be converted to 16:9 prior to submission.

• Audio: Clean, mixed, and free of distortion, if language is not English, must have English subtitles.

• File Format: MP4 only (H.264 or H.265 required) preferred with .vtt captions (.vtt only), (at least English).

Photos: jpg, jpeg, or png.

• Length: All Forms: minimum of 30 seconds; maximum of 120 minutes per content, max file size 50GB.

ONDÍAM Global may request a higher‑resolution master if necessary.

If you are unable to provide .vtt captions, you must provide ONDÍAM Global permission to create such captions.

19.f. Content Submission Process

The submission pathway includes:

3. Business Partners provide content via email to ensure smooth coordination of campaign materials and platform preparation.

6. Acceptance means your work has been accepted; Consideration means we like your work we like the concept, however, something needs adjustment and must be resubmitted; or Decline means the work does not align with our values or with our progamming.

19.g. Curation Process

ONDÍAM Global is a curated platform. Content and commercial advertisement acceptance is based on:

• cinematic quality,

• narrative strength,

• originality,

• global resonance, and

• alignment with the ONDÍAM Global mission and brand identity.

Curation decisions are final and may not include individualized feedback.

19.h. Updating or Removing Content and Advertisements

Content Contributors and Business Partners may request updates or removal of their content by submitting a written request to ONDÍAM Global via email at: contact@ondiamglobal.com .

Contributor Requests are honored when feasible, except when:

• the content is under active sponsorship,

• the content is part of a sublicensing agreement, or

• removal would violate contractual obligations.

Business Partners may have specific terms for advertisement updates in their Network Agreement.

ONDÍAM Global may also remove content at its discretion.

19.i. Community Expectations

Contributors are expected to:

• engage respectfully,

• uphold professional standards,

• avoid harassment or harmful behavior, and

• maintain accurate account and rights information.

ONDÍAM Global reserves the right to restrict access for violations.

20. Privacy Policy

20.a. Overview

This Privacy Policy explains how ONDÍAM Global collects, uses, and protects personal information. By using the platform, you agree to the practices described herein.

ONDÍAM Global does not use third‑party behavioral advertising trackers or cross‑site profiling technologies. However, ONDÍAM Global and its service providers may collect operational analytics such as views, engagement metrics, ad delivery data, and platform usage information necessary to operate the network, improve performance, and calculate revenue share. These analytics may be processed by third‑party operational services partners.

ONDÍAM Global does not control tracking technologies used by external platforms such as Instagram, Facebook, or other third‑party websites where ONDÍAM Global content or links may appear. Users should review the privacy policies of those platforms for information about their tracking practices.

ONDÍAM Global does not sell user data to advertisers or share personal information for behavioral advertising purposes.

20.b. Information We Collect

We do not collect sensitive personal information (such as government‑issued identification numbers, financial account numbers, or biometric data) unless required for legal compliance such as tax documentation. Payment card and banking information are processed directly by third‑party payment providers and are not stored by ONDIAM Global.

ONDÍAM Global does not:

• sell personal information,

• share Contributor data with advertisers,

• permit cross‑platform behavioral profiling, or

• use personal data for automated decision‑making that affects rights or eligibility.

20.e. When We Share Information

We may share information with:

• service providers (payment processors, analytics tools),

• legal authorities when required, and

• partners involved in sublicensing (content‑only, not personal data).

We do not share personal information for marketing purposes.

20.f. Data Retention

We retain information only as long as necessary for:

• platform operations,

• legal compliance,

• accounting and reporting, and

• Contributor agreements.

Contributors may request deletion of their account or personal data.

20.g. Security

ONDÍAM Global uses industry‑standard security measures to protect personal information. No system is perfectly secure, and we cannot guarantee absolute protection.

Depending on your location, you may have rights to:

• access your data;
